Terms of use

These terms cover the eFakt website and desktop app (together, “the service”), offered by R&D LLC (“we”). By downloading, installing or using the app you accept these terms. If you use it on behalf of a company, you confirm that you are authorised to bind it.

The developer SDK has its own license; see Developer SDK.

What eFakt is

eFakt is an independent app for issuing, signing, sending and receiving electronic invoices through the e-Faktura system of the Public Revenue Office (UJP). It is not a UJP product and is not affiliated with UJP. UJP runs the system, receives the documents and decides their status.

Early version

The app is in an early version and is being tested on the UJP test environment. This means:

• there may be bugs, and features may change or be removed;
• before using it in production, check the results on the test environment;
• we may end the early version or replace it with a paid one, with reasonable notice.

License

We grant you a non-exclusive, non-transferable right to install and use the app for the needs of your company, or of the companies whose books you keep, as long as you follow these terms.

You may not:

• sell, rent, repackage or share the app with others, unless we allow it;
• decompile or modify it, except as far as the law expressly allows;
• remove copyright and ownership notices;
• use it to overload, bypass or disrupt the UJP system, or for documents you are not authorised to issue.

Your duties

• The content of your documents is your responsibility. The app calculates according to UJP code lists, but you are responsible for the accuracy of the data, the tax treatment and compliance with tax regulations.
• Keep your certificate and PIN safe. Any document signed with your certificate is considered yours. If you think someone else has had access to it, revoke it with the issuer.
• Check the status. A document is sent when UJP assigns it an EUID. Check the status in the app or on the UJP portal.
• Make backups. The local database is on your computer; we have no copy of it. The original documents also remain in the UJP system.

UJP and third parties

We are not responsible for the availability, speed or decisions of the UJP system, or for changes UJP makes to the system or the regulations. When UJP does not respond, the app cannot send documents; so do not leave important documents until the last moment before a legal deadline.

Developer SDK

The SDK is bought separately, per platform. The same eFakt SDK License applies to all platforms and comes with the SDK (the LICENSE file). Where the license and these terms differ, the license applies to the SDK. In short:

• you may build the SDK into your own software and sell that software under your own name, without our branding;
• you may not sell, share or publish the SDK on its own, or give it to other developers;
• the SDK is provided “as is”, without warranty of any kind, and our liability is excluded as far as the law allows;
• you are responsible for your software and your customers.

Intellectual property

The app, website, texts and marks are ours or used with permission. These terms do not transfer ownership to you. If you send us a suggestion or feedback, we may use it without any obligation to you.

No warranty

The service is provided “as is” and “as available”. To the extent the law allows, we do not guarantee that it will work without interruption or errors, or that it will fit every purpose you have.

Limitation of liability

To the extent the law allows, we are not liable for indirect or consequential damage, lost profit or lost data, nor for fines and interest caused by incorrect data, late sending or unavailability of the UJP system. Our total liability is limited to the amount you paid us for the app in the last 12 months.

This limitation does not apply to damage we caused intentionally or through gross negligence, or in other cases where the law does not allow it to be limited.

Termination

You can stop using the app at any time by uninstalling it. We can end your right to use it if you breach these terms. Your documents remain in the UJP system and in your local database.

Changes to the terms

We may change these terms. The date of the last change is shown above. We will announce major changes in advance, on the website or by email. If you keep using the app after a change, you are deemed to accept the new terms.

Law and disputes

These terms are governed by the law of the Republic of North Macedonia. We will first try to resolve any dispute amicably. If that fails, the competent court in Skopje has jurisdiction.
